Role Description:


Kimball International seeks a Corporate Paralegal who will be responsible for legal entity management; managing and maintaining corporate minute books and records of board of directors and committee meetings; assisting with preparation and submission of SEC filings; managing Section 16 filings and insider trading / blackout period lists and communications; assisting with compiling materials for board of directors and committee meetings; assisting with due diligence for financing deals, mergers and acquisitions and other business development activities; overseeing coordination and management of annual meeting logistics. This position will include interaction with our Board of Directors and senior executive officers. This position will also assist with drafting resolutions and working with in-house Legal, Tax, and Treasury personnel. The individual must have the ability to work independently and as an effective and engaged team member in a fast-paced environment. Strong initiative and follow-through are essential for this job. The ability to maintain confidentiality and to operation int her ole with the highest of ethical standards and professionalism are required.


Responsibilities:


Subsidiary Management:

  • Prepare and file all necessary documents for the formation, dissolution and maintenance of corporate entities and subsidiaries including Articles of Incorporation, Bylaws, Articles / Certificates of Dissolution and necessary board and shareholder minutes and consents.
  • Manage activities related to maintenance, creation, and dissolution of domestic and foreign entities; prepare written consents, resolutions, certifications, minutes and other corporate documentation; update and maintain database of historical, stock, officer, director, and other corporate information for corporate entities; draft jurisdictional certificates of authority and certificates of withdrawal.
  • Evaluate the needs for and direct all aspects corporate qualifications and registrations for applicable businesses; coordinate with corporate agents to evaluate the needs for annual returns, foreign qualifications, business licenses and other governmental filings as necessary to comply with local, state, national and international requirements for business operations; prepare and file registration, annual report and qualification documents; coordinate with finance, tax and accounting departments as needed; engage, direct and oversee work of corporate agents and vendors.
  • Work with other internal departments to answer questions regarding subsidiary management

SEC filings:

  • Assist with preparation and filing of SEC filings.
  • Assist with proxy statement process, including preparing, collecting, and reviewing D&O proxy questionnaires.
  • Assist with annual meeting matters and ensure compliance with Nasdaq rules.
  • Manage Section 16 filings and insider trading / blackout period lists and communications.
  • Assist with facets of the Board of Directors and Committee meetings, including logistics for meetings.
  • Update and maintain corporate minute books for legal entities and as applicable, Board of Directors and Committees, including drafting resolutions, minutes and other necessary documentation.

Other Responsibilities:

  • Assist with business development activities, financing projects, legal aspects of mergers and acquisition activity, and other special projects as needed.
  • Liaise with HR, Accounting Finance, Tax, Payroll, and Stock Administration on various corporate matters and coordinate with outside counsel and corporate agents.
  • Support and address staff and shareholder inquires.

  • Paralegal studies certificate required.
  • Previous experience working with public companies is required.
  • Exceptional organization skills and meticulous attention to detail.
  • Strong interpersonal skills, ability to communicate and collaborate with individuals at all levels in and out of the organization.
  • Ability to effectively communicate, collaborate and deliver an excellent work product in a fast-paced, and rapidly growing dynamic company.
