Overview: Nelson Mullins is seeking an experienced corporate or business paralegal to assist attorneys in our development, investments, and real estate transactions practice. As a corporate paralegal, you’ll assist with all phases of closing transactions including organizational structuring, due diligence, financing negotiation, review of contracts and closing. Your strong working knowledge of different types of corporate structures and entity formation will aid in review and preparation of organizational and due diligence documents.
A Day in the Life: Performing more substantive and client facing work than is typical for a paralegal in a law firm setting, you’ll be tasked with a range of duties including: creating and maintaining checklists to keep track of all aspects of transactions from initial entity creation through closing; simultaneously managing multiple deals, including tracking deadlines, critical date memos, and communicating progress/status/issues to attorneys, clients, and third-parties; coordinating with various parties such as local government agencies, architects, surveyors, title companies, clients, lenders, and other financing parties; drafting legal opinions, corporate resolutions, loan documents, and other various corporate and financial documentation; participating in strategy meetings and implementing strategy; demonstrating flexibility and initiative regarding assignments for self and team; drafting email correspondence, letters and documentation to clients, parties, other professionals and colleagues; efficiently building knowledge of team and client systems and processes; and gathering and maintaining client and transaction-related records in our case management systems.
We Know You: You have both excellent verbal communication and writing skills. You have a strong sense of accountability, take ownership over projects and responsibilities, and resolve issues proactively. You’re able to easily stay organized and consider your high level of accuracy and attention to detail one of your strongest attributes.

  • Bachelor’s degree, associate degree or Paralegal Certification
  • At least five years of experience as a corporate or business paralegal
  • A client service mindset and desire to achieve a high level of productivity
  • Experience using various computer systems, including Microsoft Excel and document management programs such as Net Documents and Collaborate
  • The ability to prioritize, meet deadlines and escalate issues to attorneys
  • Ability to contribute to a positive work environment, effectively collaborate, and promote teamwork
  • Ability to work overtime, as needed

Mid-size to large law firm experience a plus!
